CLAUSE 1. ACCEPTANCE OF TERMS  
1.1 Binding Agreement.  
       These Terms and Conditions (“Terms”) govern your access to and use of JobNet, Inc.’s website, applications, and services (collectively, the “Platform”, “JobNet”). By using JobNet, you acknowledge and agree that these Terms form a binding legal agreement between you and JobNet, Inc. Whether you are a job seeker, employer, recruiter, staffing agency, or any other  
visitor to the Platform, your continued access or use signifies your acceptance of and agreement to comply with these Terms in full.  
 
1.2 Scope of Terms.  
    These Terms apply to all users of the Platform, regardless of whether you are browsing job postings, submitting applications, posting jobs, purchasing premium listings, or otherwise interacting with our services. They govern not only the contractual relationship between you and JobNet, Inc., but also set the framework for acceptable use of our Platform, your obligations to other users, and our responsibilities as a service provider.  
 
1.3 Incorporated Policies.  
   By accepting these Terms, you also agree to our Privacy Policy and Job Posting Rules , which are expressly incorporate by reference into these Terms. These documents are not optional—they carry the same binding effect as these Terms. Together, they form a unified legal agreement that governs your relationship with JobNet.  
 
1.4 Consent to Electronic Transactions and Communications.  
  You acknowledge and agree that your relationship with JobNet is conducted primarily through electronic means. All agreements, notices, disclosures, and communications sent electronically by JobNet satisfy any legal requirement that such communications be in writing. You consent to receive communications electronically unless you withdraw such consent in writing by contacting us.  
 
1.5 Amendments and Updates.  
  JobNet may amend these Terms from time to time to reflect changes in law, improvements to our services, or operational adjustments. Updates will be posted on the Platform with a new “Last Revised” date. It is your responsibility to review these Terms periodically. Your continued use of the Platform after any update constitutes your acceptance of the modified Terms. If you do not agree to changes, you must discontinue use of the Platform immediately.  
 
1.6 Supplemental Agreements.  
Certain features of the Platform—such as subscription-based services, advertising packages, or promotional campaigns—may require you to agree to additional terms. In the event of a conflict between these Terms and supplemental agreements, the supplemental agreements will govern, but only with respect to the specific feature or service.  
 
1.7 Third-Party Terms.  
JobNet may integrate with third-party service providers (e.g., payment processors, analytics providers, applicant tracking systems). Your use of such services may be subject to the third party’s own terms, which you agree to abide by in addition to these Terms.  
 
CLAUSE 2. ELIGIBILITY AND USER REPRESENTATIONS  
2.1 General Eligibility.  
To use the Platform, you must:  
  Be at least 18 years of age ;  
  Have the legal capacity and authority to enter into these Terms;  
  Not be prohibited from using online services under applicable law.  
By using the Platform, you represent and warrant that you meet all eligibility requirements. If you do not, you may not use the Platform, and JobNet reserves the right to terminate your account.  
 
2.2 Employer Eligibility.  
Employers, recruiters, or staffing agencies using the Platform to post jobs represent and warrant  that:  
  They are duly registered and authorized businesses in their respective jurisdictions;  
  They hold all required licenses, permits, or authorizations to engage in recruitment or staffing activities;  
  They will comply with all federal, state, and local laws, including but not limited to U.S.  
Equal Employment Opportunity Commission (EEOC) requirements and Texas labor laws;  
  They will not misrepresent their company, the position being advertised, or any terms of  employment.  
JobNet may request documentary proof of an employer’s legal existence, business registration,  or authority to hire. Failure to provide such documentation upon request may result in suspension or termination of the employer’s account.  
 
2.3 Job Seeker Eligibility.  
Job seekers using the Platform represent and warrant that:  
  They are legally authorized to work in the jurisdiction(s) for which they apply;  
  They will provide truthful, complete, and current information in their profiles, resumes,  and job applications;  
  They will not impersonate another person, use false credentials, or misrepresent their  qualifications;  
  They will use the Platform in good faith to seek legitimate employment opportunities and  not for purposes such as data mining, solicitation, or harassment.  
 
2.4 Prohibited Users.  
The following individuals or entities are strictly prohibited from using the Platform:     Users under the age of 18;  
  •   Individuals or businesses suspended or removed from JobNet for prior violations;  
  •   Persons or entities located in jurisdictions subject to U.S. sanctions or trade restrictions;  
  •   Persons on any U.S. government list of restricted or prohibited parties.  
2.5 Representations of Compliance.  
By using the Platform, you expressly represent and warrant that:  
  You have read, understood, and agree to comply with these Terms;  
  Your use of the Platform will not violate any applicable law or regulation;  
  You are solely responsible for ensuring that your participation in the Platform is lawful in  your jurisdiction.  
 
2.6 Consequences of Ineligibility.  
If JobNet discovers, at any time, that a user has misrepresented their eligibility or provided false  information, we reserve the right to immediately suspend or terminate that user’s account, remove any associated job postings or applications, and report unlawful conduct to the appropriate authorities.  
 
CLAUSE 3. USER ACCOUNTS AND REGISTRATION  
3.1 Account Creation.  
In order to access certain features of the Platform, you must register for an account. During registration, you must provide accurate and complete information, including your legal name, email address, phone number, and any other information requested. Employers may also be required to provide company details, business licenses, and tax identification numbers.  
 
3.2 Accuracy of Information.  
You represent and warrant that all information you provide during registration and throughout your use of the Platform is accurate, current, and complete. You agree to update your account promptly if your information changes. Providing false or misleading information constitutes a violation of these Terms and may result in account suspension or termination.  
 
3.3 Account Security.  
You are solely responsible for maintaining the confidentiality of your login credentials, including  
your username and password. You agree to:  
  Not share your login credentials with any third party;  
  Not allow any unauthorized individual to access your account;  
  Notify JobNet immediately of any suspected unauthorized access.  
JobNet is not liable for losses incurred due to unauthorized use of your account unless such use is directly attributable to JobNet’s negligence or misconduct.3.4 Employer Accounts. Employers and recruiters are required to ensure that accounts created on behalf of a business are authorized by the business entity. The individual creating the account represents that they  
are an authorized agent of the employer. JobNet reserves the right to verify employer accounts and may request supporting documentation to confirm legitimacy.  
 
3.5 Job Seeker Accounts.  
Job seekers may create personal accounts to upload resumes, apply for jobs, and manage applications. Each individual may only maintain one active account. Creating multiple accounts for the purpose of evading restrictions, duplicating applications, or manipulating the Platform is prohibited.  
 
3.6 Restrictions on Account Use.  
You agree not to:  
  Create accounts using false identities or fictitious information;  
  Sell, rent, lease, or otherwise transfer your account;  
  Use another user’s account without permission;  
  Engage in “account farming” or similar practices.  
 
3.7 Termination and Suspension.  
JobNet may suspend or permanently terminate accounts at its sole discretion if:  
  You violate these Terms or applicable law;  
  Your account is associated with fraudulent, deceptive, or abusive activity;  
  You fail to provide required verification documentation.  
Upon termination, you lose access to your account and any associated content, though JobNet may retain records as required by law.  
 
3.8 Responsibility for Activities.  
You are fully responsible for all activities conducted through your account. If you permit a third party to use your account, you remain liable for their actions. JobNet disclaims liability for unauthorized use of accounts unless directly caused by our own negligence.  
 
3.9 Inactive Accounts.  
JobNet reserves the right to deactivate or delete accounts that remain inactive for extended periods. In such cases, JobNet may retain certain user data for recordkeeping or compliance purposes, consistent with our Privacy Policy.  
 
CLAUSE 4. JOB POSTING RULES  
4.1 General Compliance  
All employers and recruiters who publish job postings on JobNet, Inc. (“the Platform”) must  comply with all applicable federal, state, and local employment laws . This includes, but is not limited to:     Federal Equal Employment Opportunity (EEO) Laws : Employers may not  discriminate in job advertisements or hiring practices based on race, color, religion, sex  
(including pregnancy, sexual orientation, and gender identity), national origin, age (40 or  older), disability, or genetic information.  
  Americans with Disabilities Act (ADA) : Employers must provide reasonable  accommodation and cannot unlawfully exclude individuals with disabilities. Job postings  must avoid language that excludes qualified applicants (e.g., “must be able-bodied”  unless job-related and legally justified).  
 
  Fair Labor Standards Act (FLSA) : Postings must reflect lawful wages and overtime rules. Misclassification of workers as independent contractors or unpaid interns when the  law requires employee status is prohibited.  
  Immigration Laws (IRCA & I-9 Rules) : Employers may verify employment eligibility as  legally permitted but cannot post discriminatory requirements such as “U.S. citizens only,” unless specifically mandated by law or government contract.  
  Texas Employment & Anti-Discrimination Statutes : As Texas law governs this  Agreement, postings must comply with the Texas Labor Code, which extends protection  against workplace discrimination and mandates equal pay and lawful working conditions.  
Employer Responsibility : JobNet provides a platform for job distribution but does not review  postings for legal compliance. Employers bear full responsibility for ensuring their postings meet  all applicable laws.  
 
4.2 Prohibited Job Postings  
The following categories of postings are strictly prohibited . JobNet reserves the right to  remove postings without notice and suspend or terminate accounts for violations.  (a) Discriminatory Listings  
Examples:  
  “Men only” / “Women preferred” unless genuine occupational qualifications are legally  
applicable.  
  “Must be under 30 years old.”  
  “Native English speakers only” where language is not essential to the role.  
  “Christian applicants preferred.”  
Such requirements violate EEOC standards unless a clear, legally recognized exception applies  
(e.g., certain faith-based organizations with religious exemptions).  
 
(b) Adult or Sexual Services  
Absolutely prohibited:  
  Escort services, erotic modeling, pornography, sex chat lines, or “companionship”  services.      
 Postings seeking workers for strip clubs, sex tourism, or related industries.  
 JobNet enforces a zero-tolerance policy toward sexual exploitation, including disguised  postings.  
 
(c) Illegal or Unlicensed Work  
Examples of banned jobs:  
  Sales of controlled substances without a license.  
  Unlicensed gambling operations.  
  Jobs requiring the transport or sale of counterfeit products.  
  Human trafficking or smuggling roles disguised as “travel opportunities.”  
Any suspicion of criminal activity will result in immediate removal and possible law  enforcement referral .  
 
(d) Multi-Level Marketing (MLM) & Pyramid Schemes  
Banned postings include:  
  Jobs requiring applicants to purchase products upfront to qualify.  
  Compensation based primarily on recruiting others.  
  “Be your own boss” schemes with no guaranteed wages.  
Legitimate direct-sales companies must comply with FTC guidelines and disclose income  structures transparently.  
 
(e) Scams & Deceptive Listings  
Prohibited examples:  
  “Work from home stuffing envelopes – $2,000/week guaranteed.”  
  Fake check cashing jobs.  
  Cryptocurrency “investment opportunities” disguised as employment.  
  Listings requiring applicants to pay for job applications, training, or equipment without  disclosure.  
JobNet actively monitors for fraud patterns and may ban entire employer accounts if engaged  in scams.  
 
(f) Unpaid or Misclassified Roles  
  Jobs that do not offer lawful compensation unless legally valid (e.g., volunteer work for  nonprofit organizations).  
  “Internships” that are essentially unpaid labor without educational benefit.     Roles misclassified as independent contractors where, under law, they qualify as  employees.  
Employers must disclose when compensation is commission-only or performance-based.  
 
(g) Harassment, Exploitation, or Unsafe Work  
  Jobs promoting violence, harassment, or unsafe conditions.  
  “Adult modeling” posts requiring explicit photo submissions.  
  Roles involving unsafe environments without legal protections.  
(h) Misrepresentation & Fraud  
  Employers misrepresenting their identity, brand, or location.  
  Fake companies or unverifiable business names.  
  Inflated salary ranges or misleading benefits.  
Example: Posting “$70,000+ salary” when actual pay is commission-based only.  
 
(i) Duplicate/Spam Postings  
  Posting the same role multiple times to dominate search results.  
  Posting unrelated jobs under misleading job titles.  
  “Keyword stuffing” in job titles like “Sales / Marketing / Business / Entry-Level / Manager  / Apply Now.”  
 
(j) Unauthorized Third-Party Postings  
  Recruiters/agencies posting jobs without written authorization from the employer.  
  Jobs posted by individuals who are not official representatives of the hiring entity.  
 
4.3 Job Posting Standards  
All postings must meet minimum quality standards to protect job seekers and maintain  
platform integrity:  
1. Job Title Accuracy : Must reflect the actual role (e.g., “Customer Service Representative” not “Hiring Now $$$ Quick Money”).  
2. Job Description Content : Should clearly outline:  
o Key duties and responsibilities.  
o Required qualifications (education, skills, certifications).  
o Location of work (on-site, hybrid, or remote).  
o Compensation structure (salary, hourly, commission).  
o Any background check or licensing requirements.3. Compensation Transparency : If the role is commission-only or contains variable pay, this must be clearly stated upfront .  
 
4. Professional Standards : No profanity, offensive language, excessive emojis, or  irrelevant content.  
 
5. Non-Solicitation Rule : Employers cannot use job postings to advertise unrelated  services (e.g., promoting training seminars or selling products).  
 
6. Timeliness : Employers must remove or update postings once filled. Expired job ads  create misleading experiences for candidates.  
 
4.4 Monitoring & Enforcement  
JobNet reserves the right to monitor postings for fraud, illegality, or non-compliance . JobNet  may:  
  Edit postings to correct formatting or remove misleading claims.  
  Remove postings outright if they violate laws or platform rules.  
  Suspend or terminate employers’ accounts for repeated violations.  
  Restrict posting privileges temporarily or permanently.  
  Report serious infractions (e.g., human trafficking, fraud) to relevant authorities.  
Refund Policy : Employers will not be entitled to refunds or credits for removed postings due to  violations.  
 
4.5 Employer Warranties  
By posting a job, the employer represents and warrants that:  
  The posting is genuine, lawful, and not misleading.  
  The employer has full authority to hire for the role.  
  The posting complies with all federal, state, and local employment laws.  
  The opportunity provides fair and legal working conditions.  
  The posting does not infringe intellectual property, contractual rights, or third-party  privacy rights.  
Employers agree to indemnify, defend, and hold harmless JobNet, Inc. from any claims,  liabilities, damages, or costs (including attorney’s fees) arising from postings that violate these  Terms or applicable law.  
 
CLAUSE 5. PROHIBITED CONTENT AND ACTIVITIES  
5.1 General Prohibition.  
Users may not upload, transmit, publish, or otherwise distribute any content on the Platform that  violates law, infringes intellectual property rights, or disrupts the integrity of the Platform.5.2 Prohibited Content.  Without limitation, the following categories of content are strictly prohibited:  
  Illegal Content : Material that promotes, solicits, or facilitates illegal activity;  
  Discriminatory Content : Job postings or user-generated content that discriminates on  the basis of race, color, religion, sex, national origin, disability, age, sexual orientation,  gender identity, or any other protected category under applicable law;  
  Infringing Content : Material that infringes or misappropriates intellectual property  rights, trade secrets, or proprietary information;  
  Obscene or Offensive Content : Material that is sexually explicit, defamatory,  harassing, threatening, or otherwise offensive;  
  Misleading or Fraudulent Content : False claims regarding employers, job positions,  compensation, or candidate qualifications.  
 
5.3 Prohibited Activities.  
Users agree not to engage in the following activities on the Platform:  
  Attempting to access another user’s account without authorization;  
  Circumventing security features, such as authentication or monitoring systems;  
  Using the Platform to send spam, solicitations, chain letters, or other unauthorized  commercial communications;  
  Collecting or harvesting information from other users without consent;  
  Interfering with the operation of the Platform through malware, bots, scraping tools, or  automated means.  
 
5.4 Prohibited Uses of Candidate Data.  
Employers and recruiters must use candidate information solely for legitimate recruitment  purposes. Employers may not:  
  Sell, trade, or distribute candidate data to third parties;  
  Use candidate data for marketing, advertising, or solicitation unrelated to hiring;  
  Retain candidate data longer than reasonably necessary for hiring purposes without  consent.  
 
5.5 Monitoring and Removal.  
JobNet reserves the right, but does not assume the obligation, to monitor all content and  activities on the Platform. JobNet may remove any content or restrict access at its sole  discretion if it deems such content or activities to be in violation of these Terms, harmful to  users, or damaging to JobNet’s reputation.  
 
5.6 Consequences of Violation.  
Violations of this clause may result in:  
  Immediate suspension or termination of the user’s account;     
 Permanent ban from accessing the Platform;  
  Reporting of unlawful activities to appropriate authorities. 
  
CLAUSE 6. USER CONDUCT  
 
6.1 General Conduct Standards.  
All users of the Platform agree to use JobNet responsibly, lawfully, and in good faith. You agree to conduct yourself in a professional and respectful manner toward other users, whether employers, recruiters, or job seekers.  
 
6.2 Prohibited Conduct by Job Seekers.  
Job seekers must not:  
  Apply to jobs for which they lack the minimum qualifications, except where clearly stated otherwise by the employer;  
  Submit false, plagiarized, or misleading resumes, cover letters, or credentials;  
  Harass or send abusive communications to employers or recruiters;  
  Use the Platform to seek sponsorship for unrelated activities, including fundraising, personal projects, or marketing ventures.  
 
6.3 Prohibited Conduct by Employers.  
Employers must not:  
  Contact job seekers for purposes other than legitimate recruitment;  
  Require job seekers to disclose sensitive personal information (such as Social Security  numbers, financial account numbers, or passwords) during the application process,  unless required by law and conducted securely;  
  Use the Platform to collect candidate data for resale, marketing, or unrelated purposes;  
  Engage in discriminatory practices in hiring or communication.  
 
6.4 Interactions Between Users.  
Users are solely responsible for their interactions with one another. JobNet does not screen or  endorse specific users, and JobNet is not a party to any contractual relationship formed  between employers and job seekers. Users are encouraged to exercise caution and conduct  their own due diligence before entering into employment relationships.  
 
6.5 Fair Use of Platform Resources.  
Users must not overload the Platform through excessive postings, bulk applications, automated  tools, or denial-of-service attacks. JobNet reserves the right to limit the volume of applications,  postings, or communications by any user to maintain system integrity.  
 
6.6 Reporting Misconduct.  
If you encounter behavior or content that violates these Terms, you are encouraged to report it  to JobNet via the designated reporting channels. JobNet will review reports and take appropriate action, which may include warning, suspension, or termination of the offending  account.  
 
6.7 Consequences of Misconduct.  
JobNet reserves the right to take any lawful action in response to user misconduct, including but  not limited to:  
  Removal of content or postings;  
  Suspension or termination of accounts;  
  Legal action for damages;  
  Cooperation with law enforcement or regulatory authorities.  
 
CLAUSE 7. INTELLECTUAL PROPERTY RIGHTS  
7.1 Ownership of the Platform.  
All right, title, and interest in and to the Platform—including its design, layout, code, databases,  text, graphics, trademarks, service marks, trade names, logos, audio, video, and other content  (“Platform Content”)—are the exclusive property of JobNet, Inc. or its licensors. The Platform is  protected by U.S. copyright, trademark, patent, trade secret, and other intellectual property  laws.  
 
7.2 Limited License to Users.  
Subject to compliance with these Terms, JobNet grants Users a limited, non-exclusive, non  transferable, revocable license to access and use the Platform for lawful purposes consistent  with these Terms. This license does not permit:  
  Reproducing, modifying, distributing, or creating derivative works of Platform Content;  
  Reverse-engineering or attempting to extract source code from the Platform;  
  Selling, sublicensing, or exploiting the Platform for unauthorized commercial purposes.  
 
7.3 User-Generated Content.  
When you submit, upload, or otherwise provide content to the Platform—including resumes,  cover letters, job postings, company profiles, or messages (“User Content”)—you grant JobNet  a worldwide, royalty-free, perpetual, irrevocable, transferable license to:  
  Host, store, reproduce, display, and distribute User Content;  
  Use User Content to operate, promote, and improve the Platform;  
  Share User Content with third parties when necessary to provide services (e.g., job  distribution to partner boards, applicant tracking systems). 
  
7.4 User Warranties.  
By providing User Content, you represent and warrant that:  
  You own or have sufficient rights to the User Content to grant JobNet the license  described in Section 7.3; The User Content does not infringe or misappropriate any third-party rights, including  copyright, trademark, privacy, or publicity rights;  
  The User Content complies with these Terms and applicable law.  
 
7.5 Trademarks.  
“JobNet,” the JobNet logo, and all related marks are trademarks of JobNet, Inc. You may not  use JobNet’s trademarks without prior written permission, except to truthfully reference JobNet’s  services. Unauthorized use may result in enforcement actions.  
7.6 Third-Party Intellectual Property.  
The Platform may display trademarks, service marks, or content belonging to third parties. All  rights to such third-party property remain with the respective owners.  
 
7.7 Reporting Infringement.  
JobNet respects intellectual property rights and expects Users to do the same. If you believe  your copyrighted work has been copied and posted in violation of U.S. copyright law, you may  submit a DMCA takedown notice to JobNet’s designated copyright agent. JobNet will  investigate claims and take appropriate action, which may include removing content or  terminating accounts.  
 
CLAUSE 8. PRIVACY AND DATA PROTECTION  
8.1 Integration with Privacy Policy.  
JobNet’s collection, use, and disclosure of personal data are governed by our Privacy Policy ,  which is incorporated by reference into these Terms. By using the Platform, you consent to the  processing of your personal data as described in the Privacy Policy.  
 
8.2 Types of Data Collected.  
JobNet may collect and process the following categories of data:  
  Account Data : Names, email addresses, contact details, and employer identification  
information;  
  Profile Data : Resumes, job applications, work history, education, and qualifications;  
  Employer Data : Job postings, company descriptions, contact details;  
  Usage Data : Device identifiers, IP addresses, browser types, access times, and user  
interactions;  
  Payment Data : Billing information when employers purchase paid services.  
 
8.3 Purpose of Data Processing.  
JobNet processes personal data to:  
  Provide and improve Platform services;  
  Facilitate communication between employers and job seekers;  
  Ensure compliance with job posting standards and legal obligations;     Prevent fraud, abuse, or unlawful activity;  
  Send service-related notifications and marketing communications (where permitted).  
 
8.4 Data Sharing.  
We may share User data with:  
  Employers or recruiters when a job seeker applies to a posting;  
  Job seekers when employers contact them via the Platform;  
  Service providers assisting with hosting, analytics, or payment processing;  
  Regulators, courts, or law enforcement where legally required;  
  Successors or affiliates in the event of a corporate merger, acquisition, or reorganization.  
 
8.5 User Rights.  
Subject to applicable law, Users have the right to:  
  Access personal data we hold;  
  Correct inaccurate data;  
  Request deletion of data, subject to retention obligations;  
  Opt out of marketing communications;  
  Request portability of certain data in structured format.  
 
8.6 Security Measures.  
JobNet implements reasonable technical and organizational measures to protect personal data  against unauthorized access, alteration, or destruction. However, no online system is entirely secure, and JobNet does not guarantee absolute security.  
 
8.7 Children’s Data.  
JobNet is not directed to individuals under 18. We do not knowingly collect or process data from  children. If we become aware of such collection, we will delete the data promptly.  
 
8.8 International Transfers.  
Although based in the United States, JobNet may process and store data on servers located  outside the U.S. By using the Platform, you consent to international data transfers, including to  jurisdictions that may not provide equivalent data protection.  
CLAUSE 9. DISCLAIMERS OF LIABILITY  
9.1 “As-Is” Basis.  
The Platform and all services are provided on an “as is” and “as available” basis, without  warranties of any kind, whether express, implied, statutory, or otherwise. JobNet disclaims all  implied warranties of merchantability, fitness for a particular purpose, and non-infringement.  
 
9.2 No Guarantee of Employment.  
JobNet is not an employer of Users unless explicitly stated. JobNet does not guarantee that job seekers will secure employment, that employers will find suitable candidates, or that job  postings will receive applications. The Platform is a venue for connecting users; outcomes are  outside JobNet’s control.  
 
9.3 Third-Party Content and Links.  
The Platform may contain links to third-party websites, services, or job postings. JobNet is not  responsible for the availability, accuracy, or reliability of such third-party content. Inclusion of  links does not imply endorsement.  
 
9.4 User-Generated Content.  
JobNet is not responsible for the accuracy, completeness, legality, or reliability of User Content,  including resumes, applications, job postings, or communications exchanged between users.  Each user is solely responsible for their submitted content and interactions.  
 
9.5 No Liability for User Interactions.  
JobNet is not a party to any employment contract formed between employers and job seekers.  We disclaim liability for disputes, claims, or damages arising from user interactions, including  misrepresentations, discrimination, wrongful hiring, wrongful termination, or workplace conduct.  
 
9.6 Technical Limitations.  
JobNet does not warrant that the Platform will be uninterrupted, secure, error-free, or free from  viruses. Users assume the risk of using the Platform and are responsible for implementing their  own protective measures (e.g., antivirus software).  
 
9.7 Limitation of Damages.  
To the fullest extent permitted by law, JobNet shall not be liable for any indirect, incidental,  consequential, punitive, or special damages, including lost profits, lost opportunities, or  reputational harm, even if advised of the possibility of such damages.  
 
9.8 Cap on Liability.  
In no event shall JobNet’s aggregate liability to any user exceed the total fees paid by that user  to JobNet in the twelve (12) months preceding the claim, or one hundred U.S. dollars ($100),  whichever is greater.  
 
9.9 Jurisdictional Limitations.  
Some jurisdictions do not allow disclaimers of implied warranties or limitations of liability. In such  cases, the above provisions shall apply to the maximum extent permitted by applicable law.  
 
CLAUSE 10. INDEMNIFICATION  
10.1 User Responsibility.  
You agree to defend, indemnify, and hold harmless JobNet, Inc., its officers, directors,  employees, agents, affiliates, successors, and assigns (collectively, “JobNet Parties”) from and  against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees  (including reasonable attorneys’ fees) arising out of or relating to:  
  Your access to or use of the Platform;  
  Your violation of these Terms or any applicable law; 
  Your User Content, including claims that it infringes or misappropriates third-party rights;  
  Your interactions with other Users, including employers, job seekers, recruiters, or third  party service providers;  
  Any employment relationship, contract, or dispute resulting from connections made  through the Platform.  
 
10.2 Defense and Cooperation.  
JobNet reserves the right, at your expense, to assume the exclusive defense and control of any  matter subject to indemnification. You agree to cooperate fully with JobNet in asserting available  defenses and in responding to claims.  
 
10.3 Survival.  
Your indemnification obligations under this Clause survive termination of these Terms and use  of the Platform.  
 
CLAUSE 11. GOVERNING LAW & DISPUTE RESOLUTION  
11.1 Governing Law.  
These Terms, and any dispute arising out of or relating to them, shall be governed by and  construed in accordance with the laws of the State of Texas , without regard to its conflict of law  principles.  
 
11.2 Venue and Jurisdiction.  
You agree that any legal action, suit, or proceeding arising out of or relating to these Terms  shall be brought exclusively in the state or federal courts located in Harris County, Texas , and  you consent to the jurisdiction of such courts.  
 
11.3 Informal Resolution.  
Before initiating any formal legal proceedings, you agree to first attempt to resolve disputes  informally by contacting JobNet at legal@jobnet.com . JobNet will attempt to resolve the matter  within thirty (30) days.  
 
11.4 Arbitration Option.  
At JobNet’s sole discretion, disputes may be referred to binding arbitration administered by the  American Arbitration Association (AAA) under its Employment or Commercial Arbitration  Rules, as applicable. Arbitration will take place in Houston, Texas , and judgment on the award  may be entered in any court of competent jurisdiction.  
 
11.5 Class Action Waiver.  
You agree that disputes will be resolved on an individual basis only . To the maximum extent  permitted by law, you waive the right to participate in a class, collective, consolidated, or  representative action.  
 
11.6 Statute of Limitations.  
To the fullest extent permitted by law, any claim arising under these Terms must be brought  within one (1) year after the cause of action accrues, or such claim shall be permanently  barred. CLAUSE 12. MODIFICATIONS & TERMINATION  
 
12.1 Right to Modify Terms.  
JobNet reserves the right to amend, update, or modify these Terms at any time in its sole  discretion. The revised Terms will become effective upon posting to the Platform, with the “Last  Revised” date updated. Continued use of the Platform after revisions constitutes acceptance of  the modified Terms.  
 
12.2 Service Modifications.  
JobNet may, at any time, with or without notice:  
  Modify, suspend, or discontinue the Platform or any part of its services;  
  Introduce new features or remove existing features;  
  Impose limits on certain features or restrict access to parts of the Platform.  
 
12.3 Termination by JobNet.  
JobNet may suspend or terminate your access to the Platform, with or without notice, if it  reasonably determines that:  
  You have violated these Terms or applicable law;  
  Your activity poses a risk of fraud, abuse, or harm to JobNet or other Users;  
  Required by law, regulation, or governmental order.  
 
12.4 Termination by User.  
You may terminate your account at any time by following the account closure instructions within  the Platform or by contacting support@jobnet.com .  
 
12.5 Effect of Termination.  
Upon termination of your account:  
  Your right to use the Platform ceases immediately;  
  JobNet may retain certain data as required by law or for legitimate business purposes;  
  Licenses granted by you to JobNet (e.g., for User Content) survive to the extent  necessary for JobNet to continue providing services already initiated.  
 
12.6 Survival of Provisions.  
Clauses relating to intellectual property, privacy, disclaimers, limitation of liability,  indemnification, governing law, and dispute resolution shall survive termination of these Terms.  
 
CLAUSE 13. NOTICES, SEVERABILITY & ENTIRE AGREEMENT  
13.1 Notices.  
All notices, requests, demands, and other communications under these Terms must be in  writing. JobNet may provide notices to Users by:  
  Posting them on the Platform;     Sending them to the email or physical address associated with your account;  
  Any other reasonable method that ensures delivery.  
Notices are deemed received upon posting, or if delivered by email, upon transmission unless  returned undeliverable.  
 
13.2 Severability.  
If any provision of these Terms is found to be invalid, illegal, or unenforceable for any reason,  the remaining provisions shall continue in full force and effect. The invalid or unenforceable  provision shall be replaced with a valid, enforceable provision that most closely reflects the  original intent.  
 
13.3 Entire Agreement.  
These Terms, together with JobNet’s Privacy Policy, Job Posting Rules, and any other policies  expressly incorporated herein, constitute the entire agreement between you and JobNet  regarding your use of the Platform. They supersede any prior or contemporaneous agreements,  representations, or understandings, whether written or oral.  
 
CLAUSE 14. MISCELLANEOUS PROVISIONS  
14.1 No Waiver.  
JobNet’s failure to enforce any right or provision of these Terms shall not be deemed a waiver of  such right or provision. Any waiver must be expressly made in writing by an authorized  representative of JobNet.  
 
14.2 Assignment.  
You may not assign or transfer your rights or obligations under these Terms without JobNet’s  prior written consent. JobNet may freely assign or transfer its rights and obligations without  restriction, including in connection with a merger, acquisition, or sale of assets.  
 
14.3 Force Majeure.  
JobNet shall not be held liable for delays, failures, or interruptions in performance caused by  events beyond its reasonable control, including natural disasters, acts of war, terrorism, labor  disputes, power failures, government actions, or Internet or telecommunications disruptions.  
 
14.4 Headings.  
The headings used in these Terms are for convenience only and shall not affect the  interpretation or construction of the provisions herein.  
 
14.5 Third-Party Beneficiaries.  
Except as expressly provided in these Terms, no third party is intended to benefit from or rely on  these Terms. Nothing herein creates any rights enforceable by a third party.
